Review Zaps is operated by Rank Local SEO LLC d/b/a Review Zaps ("Review Zaps," "Review⚡️Zaps," "we," "us," or "our").

By accessing or using our website, purchasing a product, downloading digital content, creating an account, submitting information, using one of our tools, or otherwise interacting with our services, you agree to these Terms.

If you do not agree to these Terms, you may not use the Site or our services.

If you use the Site or purchase products on behalf of a business, organization, or other entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" includes both you individually and the entity you represent.

If a conflict exists between these Terms and another Review Zaps policy concerning a specific subject, the more specific policy controls with respect to that subject.

For example, our Return Policy controls questions specifically involving return eligibility, refunds, and lifetime replacements.

4. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes to our business, products, technology, legal requirements, or business practices.

Subject to these Terms, Review Zaps grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for lawful personal or internal business purposes.

This license does not transfer ownership of any Site content or intellectual property.

Any rights not expressly granted to you are reserved by Review Zaps and its licensors.

7. INTELLECTUAL PROPERTY

The Site and its original content and materials are owned by, licensed to, or lawfully used by Review Zaps and may be protected by copyright, trademark, trade dress, unfair competition, database, and other intellectual property laws.

Protected materials may include, where applicable:

The Review Zaps and Review⚡️Zaps names and branding.
Logos and graphic elements.
Product photography and product artwork.
Product packaging and presentation.
Website copy.
Advertising copy.
Videos and animations.
Illustrations and diagrams.
Blog articles.
Help Center articles.
Guides and educational materials.
Downloadable documents.
Templates and worksheets.
Page layouts.
Original graphics.
Software and code.
Tools and interactive functionality.
Databases and compilations.
User interface elements.
Proprietary processes and configurations.
Other original materials appearing on the Site.

Purchasing a Review Zaps product does not transfer ownership of Review Zaps intellectual property associated with that product.

Except as expressly authorized in writing by Review Zaps or permitted by applicable law, you may not reproduce, copy, republish, upload, transmit, distribute, sell, license, display, modify, create derivative works from, or commercially exploit protected Review Zaps materials.

Review Zaps does not claim exclusive ownership of words, phrases, ideas, concepts, methods, product categories, technical terminology, descriptive terminology, generic terminology, or other material that applicable law does not permit us to exclusively appropriate.

Our assertion of rights in our intellectual property is limited to rights that lawfully belong to Review Zaps.

8. COMMON, DESCRIPTIVE, GENERIC, AND INDUSTRY TERMINOLOGY

Review Zaps operates in industries in which certain words, phrases, abbreviations, product descriptions, technical terms, colloquial expressions, marketing terminology, and product labels may be used by multiple businesses, manufacturers, sellers, customers, or members of the public.

Our use of any word, phrase, product descriptor, category name, technical term, colloquial term, or similar terminology does not constitute an acknowledgment or admission that another person or entity owns exclusive rights to that terminology.

Likewise, the appearance of a word or phrase within a third party's: Business name, Domain name, Product name, Service name, Trademark application, Trademark registration, Advertising, Website, Social media account, Packaging, Marketing materials — does not, by itself, constitute an admission by Review Zaps that such party possesses valid, exclusive, superior, or enforceable rights over every use of that word or phrase.

Review Zaps expressly reserves all rights, arguments, defenses, objections, and remedies available under applicable intellectual property, trademark, unfair competition, copyright, and common law.

Depending on the circumstances, these may include arguments or defenses based on: Prior use, Earlier use in commerce, Independent creation, Common usage, Historical usage, Industry usage, Genericness, Descriptiveness, Lack of distinctiveness, Lack of acquired distinctiveness or secondary meaning, Descriptive fair use, Nominative fair use, Informational use, Non-trademark use, Lack of trademark use, Lack of priority, Lack of likelihood of confusion, Differences in commercial impression, Differences in goods or services, Geographic limitations on claimed rights, Abandonment, Consent, Acquiescence, Estoppel, Laches, Invalidity, Unenforceability, Limitations on the scope of claimed rights, Any other defense, limitation, or right recognized under applicable law.

Where terminology has been used by Review Zaps, other sellers, manufacturers, businesses, customers, or members of the public before another party's claimed adoption, claimed first use, application, or registration, nothing appearing on this Site or in these Terms shall be interpreted as surrendering, waiving, conceding, or disclaiming any rights or defenses arising from that prior, common, descriptive, generic, historical, or industry usage.

Nothing on the Site shall constitute an admission concerning: The validity of any third-party trademark, The enforceability of any third-party trademark, The ownership of any third-party trademark, The scope of protection afforded to any third-party trademark, The priority of any third-party trademark claim, The distinctiveness of any word or phrase, Whether any terminology functions as a trademark, Whether any terminology is generic or descriptive, Whether a likelihood of consumer confusion exists, Whether Review Zaps requires permission to make a particular lawful use.

Review Zaps respects valid intellectual property rights. Nothing in this section authorizes Review Zaps or any user of the Site to infringe a valid copyright, trademark, patent, trade secret, or other legally enforceable right.

If a third party believes particular content or terminology on the Site infringes a valid intellectual property right, that party may contact Review Zaps and provide sufficient information for the claim to be evaluated, including, where applicable: The specific material or terminology at issue, The specific webpage or location where it appears, The intellectual property right allegedly involved, Any applicable registration or application number, The claimed date of first use, The goods or services associated with the claimed right, The factual and legal basis for the claim, Contact information for the claimant or authorized representative.

Review Zaps reserves the right to investigate, contest, reject, resolve, or otherwise respond to any such claim as appropriate.

9. PROHIBITED COPYING, SCRAPING, AUTOMATED ACCESS, AND COMPETITIVE MISUSE

To the fullest extent permitted by applicable law, you may not use the Site or Review Zaps materials to engage in unauthorized copying, extraction, exploitation, or competitive misuse.

Without our prior written permission, you may not:

Systematically copy or reproduce our website content, product descriptions, product images, marketing materials, Help Center content, articles, guides, graphics, or other protected materials.
Use crawlers, spiders, scrapers, bots, automated scripts, extraction software, browser automation, or similar technology to systematically collect or reproduce Site content.
Harvest pricing, product information, images, written content, customer information, data, or other Site materials through unauthorized automated means.
Create or maintain an unauthorized database, archive, repository, or dataset containing substantial portions of our protected Site content.
Use Review Zaps content to train, fine-tune, evaluate, benchmark, or develop an artificial intelligence system, machine learning model, large language model, commercial dataset, or generative system without our prior written permission.
Circumvent rate limits, access controls, authentication systems, robots instructions, security systems, technical restrictions, or other measures intended to protect the Site.
Probe, scan, test, or exploit vulnerabilities in the Site or systems connected to it without authorization.
Reverse engineer, decompile, disassemble, decode, or attempt to discover the source code, underlying structure, algorithms, or proprietary operation of Site software or proprietary tools except to the limited extent such restriction is expressly prohibited by applicable law.
Copy the protected expression, artwork, photography, written content, software, interface, or other proprietary elements of Review Zaps for use in developing, manufacturing, advertising, or selling a competing product or service.
Use our copyrighted materials, proprietary content, or confidential non-public information to create substantially copied or derivative commercial materials.
Remove or alter copyright notices, trademark notices, watermarks, attribution, or other proprietary notices.
Use Review Zaps trademarks, logos, names, or confusingly similar designations in a manner likely to imply sponsorship, affiliation, endorsement, or authorization.
Frame, mirror, or replicate substantial portions of the Site on another website or service without authorization.
Access non-public portions of the Site or our systems without authorization.
Obtain or attempt to obtain information through methods not intentionally made available through the Site.

Nothing in this section prohibits lawful activities that cannot legally be restricted by contract or applicable law.

Nothing in these Terms prevents ordinary consumers, journalists, researchers, competitors, or members of the public from lawfully viewing publicly available webpages.

This section is directed at unauthorized copying, extraction, circumvention, misappropriation, exploitation, and other prohibited uses of protected materials and systems.

10. ENFORCEMENT OF INTELLECTUAL PROPERTY RIGHTS

Unauthorized use of Review Zaps intellectual property may cause harm for which monetary damages alone may be inadequate.

Where permitted by law, Review Zaps may seek injunctive relief, equitable relief, damages, recovery of profits, costs, attorneys' fees where authorized, and any other remedies available under contract, copyright, trademark, unfair competition, trade secret, or other applicable law.

Our failure to enforce a right on one occasion does not waive our right to enforce it later.

11. FEEDBACK AND SUGGESTIONS

If you voluntarily provide suggestions, product ideas, comments, recommendations, feature requests, or other feedback regarding Review Zaps or our products or services ("Feedback"), you grant Review Zaps a perpetual, worldwide, irrevocable, royalty-free right to use, modify, develop, commercialize, and otherwise use that Feedback without compensation or obligation to you.

This section does not transfer ownership of your trademarks, logos, or other pre-existing intellectual property submitted for a custom product order.

12. ORDERS

Placing an order constitutes an offer to purchase the products identified in the order.

We reserve the right, subject to applicable law, to accept, reject, limit, or cancel an order for legitimate reasons, including:

Product unavailability.
Pricing or listing errors.
Suspected fraud.
Payment authorization problems.
Abuse of promotions or discount codes.
Orders placed in violation of these Terms.
Unauthorized resale activity.
Technical errors.
Quantity restrictions.
Inability to fulfill a custom order.
Orders we reasonably believe may expose Review Zaps or others to legal, financial, or security risk.

An automated order confirmation acknowledges receipt of your order but does not necessarily constitute final acceptance.

If we cancel an order after payment has been successfully collected, we will issue an appropriate refund to the original payment method unless otherwise required by law.

13. PRODUCT INFORMATION, AVAILABILITY, AND PRICING

We attempt to present product descriptions, photographs, specifications, pricing, availability, and other information accurately.

However, occasional typographical errors, technical errors, inaccuracies, or omissions may occur.

We may correct an error and update information at any time.

If a material pricing or product-description error affects an order that has not yet been fulfilled, we may cancel the affected order and refund the amount paid.

Product photographs are illustrative. Display settings, lighting, manufacturing processes, materials, printing methods, and other factors may cause minor differences in color or appearance.

Prices and promotions may change without notice before an order is placed.

A previous price, promotion, discount, or offer does not create an entitlement to future pricing.

14. PAYMENTS, TAXES, AND PAYMENT PROCESSING

You agree to provide valid and authorized payment information.

By submitting payment information, you represent that you are authorized to use the selected payment method and authorize the applicable payment processor to charge the amount shown during checkout.

Payments may be processed by third-party payment providers. Review Zaps does not necessarily receive or store complete payment card credentials.

You are responsible for applicable sales, use, or other taxes unless those taxes are collected by us at checkout.

You may not knowingly initiate a fraudulent or abusive payment dispute or chargeback.

Nothing in these Terms prevents you from exercising legitimate rights available through your bank, payment provider, card issuer, or applicable consumer protection law.

15. PROMOTIONS, DISCOUNTS, AND COUPON CODES

Promotions, discount codes, bundle pricing, limited-time offers, gifts, and similar offers may be subject to additional restrictions.

Unless expressly stated otherwise:

Discounts have no cash value.
Discounts may not be combined.
Promotions may be modified or discontinued before an order is placed.
Offers may be subject to quantity or customer limits.
We may cancel transactions involving fraud, manipulation, automated abuse, or unauthorized use of promotional offers.

If a promotion contains an obvious technical or pricing error, we reserve the right to correct the error subject to applicable law.

16. SHIPPING AND DELIVERY

Physical product shipping is governed by our Shipping Policy.

Delivery dates and transit times are estimates unless expressly stated otherwise.

Carrier delays, weather, service interruptions, incorrect addresses, inaccessible delivery locations, or other circumstances outside our reasonable control may affect delivery.

Customers are responsible for providing a complete and accurate shipping address.

Digital products are delivered electronically and are not physically shipped.

17. RETURNS, REFUNDS, AND LIFETIME REPLACEMENTS

Returns, refunds, cancellations, exchanges, damaged products, faulty products, and lifetime replacements are governed by our Return Policy.

Our current Return Policy provides a 180-day money-back guarantee for eligible Review Zaps stands and cards, subject to the terms stated in that policy.

Custom orders are excluded from the 180-day money-back guarantee as stated in the Return Policy.

Lifetime replacement coverage for eligible stands and cards is also governed by the Return Policy.

Nothing in these Terms eliminates any non-waivable consumer right provided by applicable law.

18. CUSTOM AND BULK PRODUCTS

Customers purchasing custom or branded products may provide logos, designs, trademarks, business names, images, text, or other materials ("Customer Materials").

By submitting Customer Materials, you represent and warrant that:

You own the Customer Materials or have sufficient permission to use them.
Review Zaps is authorized to reproduce the Customer Materials for your order.
The Customer Materials do not infringe another party's copyright, trademark, publicity, privacy, or other rights.
The Customer Materials are not unlawful, fraudulent, defamatory, obscene, or otherwise prohibited by applicable law.

You grant Review Zaps and its production partners a limited license to reproduce, modify as technically necessary, print, manufacture, and otherwise process Customer Materials solely as reasonably necessary to fulfill your order and provide related support.

You retain ownership of your Customer Materials.

Where Review Zaps provides an artwork proof or design preview and requests approval, you are responsible for reviewing spelling, layout, business information, logo selection, colors, and other details before approving production.

Reasonable manufacturing and printing variations may occur, including minor differences in color, positioning, dimensions, or finish.

Custom products remain subject to applicable product-specific terms and our Return Policy.

19. DIGITAL PRODUCTS AND DOWNLOADABLE CONTENT

Purchasing a digital product does not transfer ownership of the underlying intellectual property.

Unless a product page expressly states otherwise, Review Zaps grants the purchaser a limited, non-exclusive, non-transferable license to use purchased digital content for the purchaser's own personal use or internal business use.

You may not, without prior written authorization:

Resell a digital product.
Redistribute it.
Publish it online.
Upload it to a file-sharing service.
Give copies to unrelated third parties.
Sell access to it.
Repackage it as your own product.
Remove ownership or copyright notices.
Create a substantially copied competing product from it.
Use substantial portions as training data for a commercial artificial intelligence or machine learning system.

Internal use by authorized personnel working for the purchasing business is permitted unless a product-specific license states otherwise.

20. NFC PRODUCT FUNCTIONALITY

Review Zaps NFC products are designed to simplify access to a destination programmed into the NFC product, such as a business's Google review page.

NFC functionality depends on technology outside Review Zaps' control, including:

The customer's mobile device.
Device hardware.
Device settings.
Operating system behavior.
NFC support and antenna location.
Internet connectivity.
Browser behavior.
Third-party applications.
Google services and policies.
Changes made by device manufacturers or third-party service providers.

Review Zaps does not guarantee compatibility with every device, operating system, case, accessory, browser, or future technology configuration.

The purchaser is responsible for correctly programming and testing the applicable destination before using the product with customers.

21. GOOGLE AND OTHER THIRD-PARTY PLATFORMS

Review Zaps is an independent business.

Unless expressly stated otherwise, Review Zaps is not sponsored by, endorsed by, controlled by, or affiliated with Google LLC.

Google, Google Maps, Google Business Profile, and related names and marks are owned by their respective owners.

Our products may facilitate access to third-party websites or services, but Review Zaps does not own or control those third-party platforms.

Third parties may change: Their policies, Their interfaces, Their algorithms, Their eligibility requirements, Their review systems, Their APIs, Their URLs, Their ranking systems, Their moderation practices, Their services or features.

Review Zaps is not responsible for changes made by a third-party platform or for the suspension, deletion, modification, rejection, filtering, or removal of content by that platform.

22. RESPONSIBLE REVIEW SOLICITATION AND PROHIBITED REVIEW MANIPULATION

Review Zaps products are designed to make it easier for a customer to reach a review destination.

They do not create reviews, submit reviews, determine ratings, control reviewers, or guarantee that any review will be published or remain published.

You are solely responsible for how you request and collect reviews.

You agree not to use Review Zaps products or services to:

Create or facilitate fake reviews.
Request reviews from people who have not had a genuine experience with the relevant business.
Purchase or sell fake reviews.
Create reviews through fake, duplicate, fabricated, or deceptive accounts.
Pay, compensate, discount, reward, or otherwise incentivize customers to post Google reviews where doing so violates Google's policies.
Condition compensation or incentives on a reviewer providing a positive, negative, or particular rating or sentiment.
Pressure or coerce customers into providing a particular rating.
Manipulate ratings through coordinated or deceptive activity.
Generate fake engagement.
Post or arrange negative reviews against competitors without a genuine customer experience.
Circumvent review platform protections, restrictions, or moderation systems.
Use our products in connection with unlawful or deceptive review practices.

You are responsible for complying with the rules of Google and any other review platform you use, as well as applicable advertising, consumer protection, endorsement, review, and competition laws.

Review Zaps is not responsible for penalties, profile restrictions, removed reviews, account suspensions, ranking changes, or other consequences resulting from your review solicitation practices.

23. NO GUARANTEE OF REVIEWS, RATINGS, RANKINGS, TRAFFIC, OR BUSINESS RESULTS

Review Zaps products reduce friction in directing customers to a review destination. Actual results depend on factors outside our control.

We do not guarantee: A particular number of reviews, Positive reviews, Five-star reviews, A particular average rating, That a customer will complete a review, That Google or another platform will publish or retain a review, Improvement in Google Maps rankings, Improvement in search engine rankings, Placement in the Google Local Pack, Increased website traffic, Increased leads, Increased sales, Increased revenue, A particular return on investment, Any specific competitive position.

Search engines and third-party platforms use algorithms, policies, and factors that Review Zaps does not control.

Testimonials, case examples, illustrations, scenarios, and customer results represent individual experiences or examples and should not be interpreted as guarantees that another customer will achieve the same result.

24. FREE TOOLS, RANK CHECKERS, NFC FINDERS, AND INFORMATIONAL FEATURES

Review Zaps may provide free tools and informational features, including rank-checking tools, NFC device information, compatibility information, calculators, lookup tools, or other resources.

These tools are provided for informational and convenience purposes.

Results may be based on: Third-party information, Device specifications, Search data, Estimated locations, Algorithmic processing, Cached data, Public information, Technical assumptions, Information that changes over time.

We do not guarantee that tool results are complete, current, exact, or error-free.

Search rankings in particular can vary based on location, personalization, device, time, search history, Google's systems, and other factors.

You should independently verify information where accuracy is important.

25. EDUCATIONAL CONTENT AND DIGITAL GUIDES

Articles, guides, Help Center materials, downloadable products, examples, checklists, and other educational content are provided for general informational purposes.

They are not legal, accounting, tax, financial, or other regulated professional advice.

Local SEO, Google Business Profile optimization, review collection, and digital marketing results vary.

Purchasing or using educational content does not create a professional advisory, fiduciary, agency, partnership, employment, or joint venture relationship.

26. THIRD-PARTY LINKS AND SERVICES

The Site may link to websites, applications, software, payment providers, carriers, social networks, review platforms, or other services operated by third parties.

A link does not necessarily constitute our endorsement of the third party.

Review Zaps does not control and is not responsible for third-party websites, content, security, privacy practices, availability, policies, or conduct.

Your use of third-party services is governed by the terms and policies of those third parties.

27. USER CONTENT

If the Site allows you to post, submit, upload, or otherwise provide reviews, comments, photographs, videos, testimonials, or other content ("User Content"), you retain ownership of your User Content.

By voluntarily submitting User Content for publication or use by Review Zaps, you grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, display, format, distribute, and use that User Content in connection with operating, improving, and promoting Review Zaps, subject to applicable law and our Privacy Policy.

You represent that you have the necessary rights to submit the User Content.

You may not submit content that: Violates another person's intellectual property rights, Violates privacy or publicity rights, Contains malicious software, Is fraudulent or knowingly false, Is unlawful, Is threatening or harassing, Is defamatory, Impersonates another person, Contains unauthorized personal information, Is submitted through deceptive or automated means.

We may remove User Content that violates these Terms or applicable law.

Nothing in these Terms prohibits a customer from providing an honest review or opinion about Review Zaps.

28. ACCEPTABLE USE

You may not use the Site, our products, or our services to: Violate any law or regulation, Commit fraud, Infringe intellectual property rights, Harass, threaten, or harm another person, Distribute malware or malicious code, Interfere with Site operation, Attempt unauthorized access to systems or accounts, Impersonate Review Zaps or another party, Falsely imply affiliation with Review Zaps, Collect personal information without lawful authorization, Send spam through our systems, Manipulate Site functionality, Abuse promotions, replacements, refunds, payment systems, or customer support, Engage in activity designed to damage Review Zaps, our customers, or our infrastructure.

29. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY LAW, AND EXCEPT FOR EXPRESS GUARANTEES SPECIFICALLY PROVIDED IN OUR RETURN POLICY OR OTHER WRITTEN PRODUCT-SPECIFIC TERMS, THE SITE, SERVICES, TOOLS, CONTENT, DIGITAL PRODUCTS, AND PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE FULLEST EXTENT PERMITTED BY LAW, REVIEW ZAPS DISCLAIMS IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that: The Site will always be available, The Site will be uninterrupted, The Site will be error-free, Every defect will be corrected, Information will always be complete or current, Third-party services will remain available, A product will work with every future device or third-party platform, Use of our products will produce a particular business result.

The express rights provided under our Return Policy remain unaffected by this section.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these exclusions apply only to the maximum extent permitted by law.

30. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVIEW ZAPS, RANK LOCAL SEO LLC, AND THEIR OWNERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SITE, PRODUCTS, SERVICES, CONTENT, TOOLS, OR THESE TERMS.

This includes, where legally permissible, damages arising from: Lost profits, Lost revenue, Lost business opportunities, Lost data, Loss of goodwill, Search ranking changes, Removed reviews, Account or profile suspension by a third party, Business interruption, Third-party platform changes, Inability to use a product or service, Unauthorized access by third parties.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR A CLAIM ARISING FROM A PURCHASE WILL NOT EXCEED THE AMOUNT YOU PAID REVIEW ZAPS FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM. FOR CLAIMS THAT DO NOT ARISE FROM A PURCHASE, OUR AGGREGATE LIABILITY WILL NOT EXCEED $100.

These limitations apply regardless of the legal theory asserted and even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability that cannot legally be excluded, including liability where exclusion is prohibited by applicable consumer protection law.

31. INDEMNIFICATION

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Rank Local SEO LLC d/b/a Review Zaps and its owners, members, managers, employees, contractors, agents, affiliates, and service providers from third-party claims, liabilities, losses, damages, judgments, penalties, costs, and reasonable attorneys' fees arising out of or relating to: Your material breach of these Terms, Your unlawful use of the Site or products, Your Customer Materials, Your User Content, Your infringement of another person's intellectual property or other rights, Your review solicitation practices, Your violation of a third-party platform's rules, Your violation of applicable law, Fraudulent or deceptive conduct by you.

This obligation does not require you to indemnify Review Zaps for claims caused solely by Review Zaps' own conduct to the extent such indemnification is prohibited by law.

32. DISPUTE RESOLUTION AND INFORMAL RESOLUTION

Before filing a formal claim, you and Review Zaps agree to make a reasonable, good-faith effort to resolve the dispute informally.

A party initiating a dispute should provide written notice describing: The party's name and contact information, The nature of the dispute, The relevant order number, if applicable, The relief requested.

The parties will have at least 30 days after receipt of a dispute notice to attempt informal resolution before commencing arbitration, except where immediate injunctive relief is reasonably necessary or a limitations period would otherwise expire.

33. AGREEMENT TO ARBITRATE

Except for the exceptions identified below, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, a transaction with Review Zaps, or our products or services that cannot be resolved informally shall be resolved by binding individual arbitration rather than by a judge or jury, to the fullest extent permitted by law.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

Arbitration will be administered by the American Arbitration Association ("AAA") under the applicable AAA rules, including the AAA Consumer Arbitration Rules where those rules apply.

If the AAA is unavailable or unwilling to administer the arbitration, the parties will attempt to agree on another recognized arbitration provider. If they cannot agree, a court with appropriate jurisdiction may appoint an arbitration provider or arbitrator.

The arbitrator may award any individual remedy that would otherwise be available in court, subject to these Terms and applicable law.

Review Zaps will pay arbitration fees where required by applicable law or the applicable arbitration rules.

Nothing in this section is intended to impose arbitration costs on a consumer that applicable law or governing arbitration rules prohibit.

34. ARBITRATION EXCEPTIONS

Either party may bring an eligible individual claim in small claims court instead of arbitration.

Review Zaps may also seek temporary, preliminary, or permanent injunctive or equitable relief in a court of competent jurisdiction relating to: Intellectual property infringement, Unauthorized copying, Unauthorized scraping or automated access, Misappropriation, Security violations, Unauthorized access to systems, Circumvention of technical protections, Misuse of confidential non-public information.

Seeking such relief does not waive arbitration of other claims that are subject to arbitration.

35. CLASS ACTION AND REPRESENTATIVE ACTION WAIVER

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND REVIEW ZAPS AGREE THAT CLAIMS SUBJECT TO ARBITRATION WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN A PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Unless both parties agree otherwise, the arbitrator may not consolidate the claims of more than one person or preside over a class or representative proceeding.

If applicable law prohibits enforcement of this waiver with respect to a particular claim or requested remedy, that issue will be handled as required by applicable law while the remainder of the arbitration agreement remains effective to the fullest extent permitted.

36. ARBITRATION OPT-OUT

You may opt out of the arbitration agreement in Sections 33 through 35 by sending written notice within 30 days after the date you first become bound by these Terms.

37. JURY TRIAL WAIVER

For disputes that are not subject to arbitration and to the fullest extent permitted by law, you and Review Zaps knowingly waive the right to a trial by jury.

This provision does not apply where such a waiver is prohibited by law.

38. GOVERNING LAW AND COURT VENUE

These Terms are governed by the laws of the State of Colorado and applicable federal law, without regard to conflict-of-law principles.

For disputes properly brought in court and not required to be arbitrated, you consent to the jurisdiction of the state and federal courts having jurisdiction over Mesa County, Colorado, except where applicable law gives a consumer a non-waivable right to bring a claim elsewhere.

Nothing in this section eliminates consumer protections that cannot legally be waived.

39. SUSPENSION AND TERMINATION

We may suspend, restrict, or terminate access to the Site or specific features where we reasonably believe you have: Violated these Terms, Engaged in fraud, Threatened Site security, Engaged in abusive automated access, Misused Review Zaps intellectual property, Engaged in unlawful conduct, Created material risk or harm to Review Zaps, our systems, customers, or third parties.

Termination of access does not eliminate obligations that arose before termination.

Sections concerning intellectual property, prohibited use, payment obligations, digital product licenses, disclaimers, limitations of liability, indemnification, dispute resolution, and other provisions that by their nature should survive will continue after termination.

40. FORCE MAJEURE

Review Zaps will not be liable for delay or failure to perform caused by circumstances reasonably outside our control, including: Natural disasters, Severe weather, Fire, War, Terrorism, Civil disturbance, Labor disputes, Transportation interruptions, Carrier failures, Power outages, Internet or telecommunications failures, Cyberattacks, Government actions, Epidemics or public health emergencies, Supplier interruptions, Third-party service outages, Other events beyond our reasonable control.

This section does not limit any rights that applicable law does not permit us to waive.

41. COPYRIGHT AND INTELLECTUAL PROPERTY COMPLAINTS

Submission of a complaint does not constitute acceptance or acknowledgment by Review Zaps of the validity, ownership, priority, scope, or enforceability of the asserted right.

Knowingly submitting a false infringement allegation may have legal consequences.

42. ELECTRONIC COMMUNICATIONS

When you communicate with us electronically, create an account, or place an order, you consent to receive transactional communications electronically where legally permitted.

Electronic communications may include: Order confirmations, Shipping notices, Download information, Account notices, Customer service communications, Policy or security notices.

Marketing email preferences are governed separately and may be changed using the unsubscribe mechanism provided in applicable marketing emails.

43. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without our prior written consent where such restriction is permitted by law.

Review Zaps may assign these Terms in connection with a merger, acquisition, restructuring, financing, sale of assets, or transfer of the business, subject to applicable law.

44. NO PARTNERSHIP OR AGENCY

Nothing in these Terms creates a partnership, joint venture, employment relationship, franchise, fiduciary relationship, or agency relationship between you and Review Zaps.

45. NO THIRD-PARTY BENEFICIARIES

Except where expressly stated otherwise, these Terms do not create enforceable rights for any person or entity other than you and Review Zaps.

46. SEVERABILITY

If any provision of these Terms is determined to be illegal, invalid, or unenforceable, that provision will be enforced to the maximum extent legally permissible or severed as required by law.

The remaining provisions will remain in effect.

47. NO WAIVER

Our failure or delay in exercising any right under these Terms does not waive that right.

A waiver on one occasion does not constitute a waiver on another occasion.

48. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Shipping Policy, Return Policy, applicable product-specific terms, and other policies expressly incorporated by reference, constitute the agreement between you and Review Zaps concerning the subject matter they cover.

They supersede prior or contemporaneous representations regarding that subject matter except for express written promises that are specifically intended to remain binding.
